Web Services Agreement (Terms & Conditions)

This Agreement is made between:
[GoRed Medias] (“Company”)
and
[Any Client] (“Client”)

Effective Date: August, 2023

  1. Scope of Services

The Company agrees to provide web-related services including, but not limited to:

  • Website design and development
  • E-commerce development
  • Website maintenance and support
  • Hosting and domain assistance
  • SEO and digital marketing services

The exact scope, features, timelines, and deliverables will be defined in the project proposal or quotation shared with the Client.

  1. Project Timeline
  • The project timeline begins once the initial payment is received.
  • Timelines depend on timely inputs (content, approvals, feedback) from the Client.
  • Delays from the Client side may result in revised delivery dates.
  1. Payment Terms
  • A [50% / agreed %] advance payment is required before work begins.
  • The remaining balance must be paid before final delivery / deployment.
  • For ongoing services (SEO, maintenance), payments are billed monthly or as agreed.
  • Late payments may result in project delays or service suspension.
  1. Revisions & Changes
  • The Company provides [X number] of revisions as part of the project.
  • Additional revisions or changes beyond the agreed scope will be charged extra.
  • Major changes after approval of design/development will be treated as a new scope.
  1. Client Responsibilities

The Client agrees to:

  • Provide all required content (text, images, logos, credentials) on time
  • Ensure content provided does not violate any copyright or legal laws
  • Review and approve deliverables within a reasonable timeframe
  1. Intellectual Property
  • Upon full payment, the website design and developed code (excluding third-party tools/plugins) will be transferred to the Client.
  • The Company reserves the right to showcase the project in its portfolio unless otherwise agreed.
  1. Third-Party Services
  • Any third-party tools, plugins, themes, hosting, or APIs may involve additional costs.
  • The Company is not responsible for failures, downtime, or changes in third-party services.
  1. Maintenance & Support
  • Post-launch support is provided for [X days/months] for bug fixes only.
  • Ongoing maintenance requires a separate agreement or package.
  1. Cancellation & Refund Policy
  • If the Client cancels the project after work has started, the advance payment is non-refundable.
  • If the Company is unable to complete the project, a partial refund may be provided based on work completed.
  1. Confidentiality

Both parties agree to keep confidential any sensitive information shared during the project.

  1. Limitation of Liability

The Company shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of data, revenue, or business due to website issues
  • Security breaches not directly caused by the Company
  1. Termination

If client wants to terminate the business with the company (GoRed Medias) they should give a 3 months’ notice by email hence after 3 months all credentials and files will be transferred to the client. If client wants to exit immediately from GoRed Media services, they should pay a Rs 30000 where all files and credentials will be transferred to the client. Also, termination of services can come when the following scenario arises

  • Terms are violated
  • Payments are not made on time
  1. Governing Law

This Agreement shall be governed by the laws of Chennai, TN, India.

  1. Acceptance

By proceeding with the project or making payment, the Client agrees to these Terms & Conditions.
